Successful PLN 2.2 billion share issue by Alior Bank

All of Alior Bank’s new shares offered under the rights issue have been subscribed for by investors. Total demand exceeded the number of offered shares by 1.5 times. Additional subscriptions had to be reduced by 98.5%. Total gross proceeds from the offering reached PLN 2.2 billion, making this the largest public offering on the Warsaw Stock Exchange since 2013.
Alior Bank plans to immediately file the relevant applications with the National Depository for Securities (KDPW) and the Warsaw Stock Exchange in order to introduce the rights to shares (PDAs) to exchange trading and expects to file an application with the relevant register court for registration of the share capital increase. Following registration of the share capital increase and subsequent registration of the new shares at the KDPW, these will be entered in the investors’ accounts in exchange for their PDAs.
Global joint coordinators and joint bookrunners for Alior Bank’s share offering were: BZ WBK (also acting as the offering agent), Goldman Sachs International and J.P. Morgan. DM PKO BP acted as local joint bookrunner. Greenberg Traurig acted as the legal advisor to Alior Bank. The offer managers were advised by Clifford Chance.
Alior Bank is one of the most dynamically developing banks in Poland. With PLN 42 billion assets at the end of 2015, it was the 11th largest bank in Poland. More than 6,500 employees and the fourth largest banking distribution network of 830 outlets ensure efficient service of nearly 3.1 million clients, including over 130,000 businesses. Moreover, selected Alior Bank products and services are offered at 583 T-Mobile outlets as a part of a strategic partnership, as well as at 70 Tesco stores. Alior Bank has been included in the WIG20 index for the largest and most liquid companies listed on the Warsaw Stock Exchange since 2014.
